1. Acceptance of Terms
By accessing, purchasing, or using any of our services, the client agrees to be legally bound by these Terms and Conditions. If you do not agree, you must discontinue use of our services immediately.
These Terms apply across all brands, subsidiaries, products, and services operated by Miracle Seriki Digitals Limited, including but not limited to WP Academy, 1Host, and any other present or future brand not explicitly listed here.
2. Scope of Services
We provide a wide range of digital and business services including but not limited to:
- Website design and development
- Software and system development
- E-commerce setup and management
- Branding and digital identity creation
- Domain registration and hosting services
- Business training and mentorship programs
- Business operation and project execution
- Consulting and advisory services
- Digital marketing and automation systems
All services are delivered based on agreed project scope, proposal, or contract.
3. Use of Services and Client Responsibility
By using our services, the client agrees that:
- They are solely responsible for how any delivered product or service is used
- All content, materials, and instructions provided to us are legally owned or licensed
- They will not use our services for illegal, fraudulent, or harmful activities
- They assume full responsibility for business decisions made using our systems, training, or consultation
We are not responsible for any misuse, loss, damage, or consequences resulting from the client’s use of delivered work.
4. No Liability for Outcomes
Miracle Seriki Digitals Limited shall not be held liable for:
- Business failure, financial loss, or lack of profit
- Poor performance of websites, systems, or marketing campaigns
- Misinterpretation or misuse of training or consulting advice
- Technical failures caused by third-party services (hosting, APIs, plugins, payment gateways, etc.)
- Downtime, hacking, or data loss beyond our control
All services are provided on an “as-is” and “as-delivered” basis.
5. Domain Registration and Business Naming
Where we register domains, business names, or branding assets on behalf of clients:
- Registrations are made in good faith based on client instructions
- The client is responsible for confirming trademark and legal availability of names before approval
- We are not liable for disputes arising from intellectual property claims or brand conflicts
- All domain and registration fees are non-refundable once processed
- Continued ownership and renewal responsibility lies with the client unless otherwise agreed
6. Payment Terms
- All payments must be made as agreed before continuation or delivery
- Projects may be paused or suspended if payments are delayed
- All payments are strictly non-refundable unless explicitly stated otherwise in writing
- Any additional work outside agreed scope will attract extra charges
7. Project Timeline and Delivery
- Delivery timelines are estimates and not guaranteed
- Delays caused by client response time, content submission, or approvals will extend project duration
- We are not responsible for delays caused by third-party providers or force majeure events
8. Revisions and Scope Control
- Each project includes only the agreed number of revisions
- Any additional revisions or requests outside scope will incur extra charges
- Requests that significantly change the original agreement will be treated as a new project
9. Project Abandonment and Client Withdrawal
- If a client becomes unresponsive for 14–30 days, the project may be marked as abandoned
- Abandoned projects may require a reactivation or restart fee
- If a client chooses to discontinue a project after initiation, all payments made remain non-refundable
- Any completed work remains the property of the company until full payment is received
10. Termination of Services
We reserve the right to terminate or suspend services if:
- The client engages in abusive, fraudulent, or unethical behavior
- Payment obligations are not met
- The client repeatedly violates project scope or agreement terms
- There is misuse of our services or systems
11. Third-Party Services Disclaimer
Our services may depend on third-party platforms such as:
- Hosting providers
- Domain registrars
- Payment processors
- Software plugins and APIs
We are not responsible for:
- Their performance or downtime
- Policy changes or pricing changes
- Security breaches originating from those platforms
12. Intellectual Property Rights
- Upon full payment, final deliverables belong to the client unless otherwise agreed
- We retain the right to showcase completed work in our portfolio unless expressly prohibited in writing
- All concepts, drafts, and unused designs remain the intellectual property of the company
13. Training and Consulting Disclaimer
All training, consulting, and business advisory services:
- Are based on professional experience and general industry knowledge
- Do not guarantee specific business results or outcomes
- Require the client’s independent judgment and implementation
We are not liable for any decisions made based on consulting or training content.
14. Indemnification
The client agrees to indemnify and hold harmless Miracle Seriki Digitals Limited, its subsidiaries, employees, and partners from any claims, losses, damages, or legal actions arising from:
- Client misuse of services or deliverables
- Content supplied by the client
- Business operations conducted using our systems or advice
15. Force Majeure
We shall not be liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to:
- Internet outages or infrastructure failure
- Natural disasters
- War, riots, or civil unrest
- Government restrictions or legal changes
- Power failures or system breakdowns
16. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
17. Updates to Terms
We reserve the right to modify or update these Terms at any time. Continued use of our services constitutes acceptance of any updated version.
